1. Acceptance of these Terms

By creating an account or using RoiAI ("the Service"), you agree to these Terms & Conditions and the Privacy Policy. If you don't agree, don't use the Service. If you're using RoiAI on behalf of a business, you confirm you have the authority to accept these Terms for that business.

2. What RoiAI is — and is not

RoiAI is a rough-numbers business dashboard for small business owners. It helps you log income, costs, expenses, capital spend, and future bookings, and turns that into simple totals, ratios, and reports.

RoiAI is not accounting, bookkeeping, tax, payroll, or legal software, and it is not a substitute for a qualified accountant, bookkeeper, tax practitioner, or lawyer. Every figure the Service shows you — including "Estimated Net Profit," totals, ratios, and anything in Reports — is an estimate calculated directly from what you or your team typed in. RoiAI does not verify, audit, or reconcile your figures against any bank statement, invoice, receipt, or accounting record.

3. VAT and tax

RoiAI does not calculate VAT, income tax, or any other tax, and nothing in the Service should be read as tax advice. Whether to enter your figures including or excluding VAT is a decision for you and your accountant, based on your VAT registration status:

• If you are VAT-registered and claim VAT back, the usual approach is to enter your figures excluding VAT.
• If you are not VAT-registered, the usual approach is to enter the total cost including VAT.

Call your accountant if you're not sure which applies to you. RoiAI is not responsible for your VAT or tax treatment, filings, or compliance.

4. You're responsible for what you type in

Every number in RoiAI comes from you or someone on your team. You're responsible for making sure what's entered is accurate, entered in the right section, in the right period, and in the right currency. RoiAI's "Quick Add" text-matching feature is a convenience for guessing which line and section a plain-English entry belongs to — it can get that guess wrong, nothing it suggests is saved until you review and confirm it, and you're responsible for checking that what it suggests is actually correct before you confirm it.

5. No professional advice

Nothing displayed by RoiAI — totals, ratios, reports, or anything else — constitutes accounting, tax, legal, financial, or business advice, and none of it should be relied on as the sole basis for a business decision. Always confirm important numbers and decisions with a qualified professional (your accountant, tax practitioner, or lawyer) before acting on them.

6. Limitation of liability & indemnity

To the maximum extent permitted by law, RoiAI, its owners, and operators are not liable for any loss, damage, cost, or expense — direct, indirect, incidental, or consequential — arising from or connected to your use of the Service, including but not limited to: figures entered incorrectly or in the wrong currency, VAT or tax treatment you or your accountant chose, decisions made in reliance on an estimate, total, ratio, or report the Service produced, a suggestion from "Quick Add" that was accepted without being checked, or any business, financial, or legal decision made using information from the Service.

You agree to indemnify and hold harmless RoiAI, its owners, and operators against any claim, loss, or expense arising from your use of the figures you entered, the decisions you or your business made based on them, or your breach of these Terms.

7. Your account and your team

Keep your login credentials confidential — you're responsible for activity that happens under your account. If you invite other people to your business, you control what they can see and update, and you're responsible for who you give access to.

8. The Service is provided "as is"

RoiAI is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We don't guarantee the Service will be uninterrupted, error-free, or available at all times.

9. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll make a reasonable effort to let you know. Continuing to use RoiAI after a change means you accept the updated Terms.

10. Ending your account

You may stop using RoiAI at any time. We may suspend or end access to the Service for anyone who breaches these Terms.
